Articles of Incorporation for
Down Syndrome Group of the Ozarks

  1. The name of the corporation is Down Syndrome Group of the Ozarks.
  2. The corporation is a Public Benefit Corporation.
  3. The period of duration of the corporation is perpetual.
  4. The name and street address of the Registered Agent and Registered Office in Missouri is: Lynn Neidigh 2842 N Ash Springfield, MO. 65803
  5. The name and address of each incorporator: Amy Waldrop 1024 W college Springfield, MO. 65806
  6. Does the corporation have members? Yes
  7. The assets of the corporation will be distributed upon dissolution as follows: Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
  8. The corporation is formed for the following purpose:
    1. Said corporation is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Supporting organizations are but not limited to the Department of Mental Health, Down Syndrome Guild of Greater Kansas City Inc., and Down Syndrome Association of Greater St. Louis.
    2. Further, to help individuals with Down syndrome become successful by providing support and education to loving families, bringing awareness to early intervention services, promoting inclusive education, highlighting appropriate medical services, encouraging quality employment opportunities and advocating for community awareness and acceptance.
    3. And such other business as may be conducted by a Missouri Non Profit Corporation.
  9. The effective date of this document is the date it is filed by the Secretary of State of Missouri unless you indicate a future date as follows: 02/28/2007.
